Fiscal Council

The Fiscal Council of Gafisa is the body responsible for overseeing management’s actions and ensuring compliance with legal and statutory obligations, acting independently to guarantee transparency and conformity in the Company’s governance. Its duties include analyzing financial statements, issuing opinions on reports and management accounts, as well as monitoring corporate operations.

The Fiscal Council is non-permanent, installed at the request of shareholders, and is composed of three full members and their respective alternates, elected by the shareholders at the General Meeting. The term of office is unified, lasting one year, and may be renewed as decided by the General Meeting.

The current Fiscal Council’s term ends at the Annual General Meeting to be held in 2026. The table below presents the name, position, and election date for each member of our Fiscal Council.

Graduated in Accounting Sciences with a postgraduate degree in Finance; Business consultant in the areas of finance, capital markets, corporate and tax matters. Mr. Elias is a Judicial Accounting Expert for the Rio de Janeiro Court of Justice, working in various Civil and Business Courts and Civil Chambers; an Expert for the Regional Electoral Court of Rio de Janeiro; and an Expert for the Arbitration Tribunal of CIESP and FIESP. In addition, he serves as Fiscal Council member of Profarma Distribuidora de Produtos Farmacêuticos S/A; he was a Fiscal Council member of the newspaper O DIA; and acted as liquidator of Banco do Estado do Rio de Janeiro (currently BERJ). Mr. Elias is a Finance professor in postgraduate courses at Fundação Getúlio Vargas and IBMEC; and Vice President of the Association of Judicial Experts of the State of Rio de Janeiro.

Professional career with 34 years of experience developed in auditing and consulting firms, with main activities in independent auditing and internal controls/business processes, including 16 years as a Partner at Deloitte (06/2006 to 12/2022).
Luiz Otávio Nunes West Member April 29, 2025 AGO of 2026

Professional with over 30 years of experience in finance and investment management. Actively participated in major privatization processes of key sectors of the Brazilian economy, notably in the areas of steel, energy, telecommunications, logistics, and commodities. Over the past 15 years, worked in the financial market, responsible for structuring and monitoring the investment portfolio in the private equity segment for one of Brazil’s largest asset managers, serving as a member of boards of directors and fiscal councils of major corporations, including: Cia Vale do Rio Doce – VALE; Companhia Energética de Minas Gerais – CEMIG; Brasil Telecom Participações S.A. – BTP; Telemar Participações S.A. – Oi; Santos Brasil Participações S.A.; Opportrans Concessão Metroviária S.A. – Rio de Janeiro Metro; Companhia de Saneamento do Paraná S.A. – SANEPAR; Telemig Participações S.A. – TELEMIG CELULAR; Companhia de Participações Aliança da Bahia – CPAB; Renuka do Brasil S.A., among others. Education: Bachelor’s degree in Accounting Sciences from Fundação Visconde de Cairú – State of Bahia.
